In August 2024, a search committee was created to select a nominee for the board of directors’ district 7 of United Electric Cooperative Services, Inc. (the "Cooperative"). To be considered for nominating, you must adhere to the nomination procedures and meet the director qualifications established in the Cooperative's Bylaws and related policies of the Cooperative.  The application must be completed on or before 5 p.m. on December 2, 2024.

This posting is an overview of applicable procedures and qualifications but is not a substitute for the applicable Bylaws and Policies of the Cooperative, which shall in all instances control.

Director Qualifications*:

To be eligible to become or remain a director of the Cooperative, a person:

  • Must have the capacity to enter legally binding contracts and must be of at least legal age required in Texas to contract and conduct business

  • Must not have been previously removed or disqualified as a director of the Cooperative

  • Must have been a natural person Cooperative Member in good standing for the previous twelve months, and while a director must be a natural person Cooperative Member in good standing;

  • Cannot be a close relative of an incumbent director, an employee, or a close relative of an employee of the Cooperative

  • While a director, can miss no more than two (2) regular meetings during twelve (12) month rolling period, except when such a failure to attend may be excused upon a showing of good cause as determined by the Board

  • Except as otherwise provided by the Board for good cause as determined by the Board, must receive a Credentialed Cooperative Director designation, Director’s Certificate, or similar designation or certification from the National Rural Electric Cooperative Association within thirty six (36) months of becoming a director.

  • While a director must bein compliance with these Bylaws and all Board policies
  • Must be receiving Electric Services at his or her primary residence located within the district he or she does or would represent.

  • Must have a permanent residence in the district (District 7), Board District Map found here

  • While a director and during the three (3) years immediately prior to becoming a director cannot be employed by, control, serve as a director or officer of, or be financially interested in a competing enterprise, or a business selling electric energy, broadband related services, or supplies to the Cooperative

  • Cannot hold an elected public office in connection with which a salary is paid, unless in the board's determination such salary is de minimus.

  • Cannot previously have been convicted of or have pled guilty to (a) a felony, or (b) a misdemeanor involving moral turpitude.
  • No employee will be eligible to serve as a director of the Cooperative for a period of five (5) years after termination of employment with the Cooperative.

  • "Close Relative" means "an individual who (a) through blood, law, or marriage is a husband, wife, son, daughter, father, mother, brother, sister, son-in-law, daughter-in-law, mother-in-law, father-in-law, brother-in-law, sister-in-law, grandfather, grandmother, aunt or uncle of the principal or (b) resides in the same residence (collectively "close relative").  The term is intended to be broadly construed to include adoption and step and half relationships." 

  • To be "financially interested" in an enterprise or business which is publicly traded, such interest must be ownership of more than 1% of the business or enterprise.
